Steel Partners Holdings L.P. (NYSE: SPLP), a diversified global holding company, announced its intention to voluntarily delist its common units and 6.0% Series A Preferred Units from the New York Stock Exchange (NYSE) and deregister from the Securities and Exchange Commission (SEC).
The last day of trading for Steel Partners’ common units on the NYSE was on or about May 1, 2025. Following the delisting, Steel Partners expects its common and Series A preferred units to be quoted on the OTCQX platform, operated by OTC Markets Group Inc., starting approximately on May 2, 2025.
The decision to delist and deregister was made after careful consideration by the Board of Directors of the General Partner of SPLP. The primary reasons cited include:
* Reduced Financial and Administrative Burdens: Maintaining a listing on the NYSE and SEC registration involves significant financial and administrative costs, including legal, accounting, D&O insurance, and investor relations expenses. Deregistration will immediately suspend or terminate the company’s filing obligations under the Exchange Act, such as filing reports on Forms 8-K, 10-Q, and 10-K.
* Enhanced Flexibility: By moving to the OTCQX, the company gains more flexibility in its operations and reporting, while still providing a public market for its securities.
* Focus on Business Operations: Reducing compliance costs and stepping out of the public eye can provide the company with more breathing room to focus on its core business activities and growth.
