    Polyrizon Ltd. (NASDAQ: PLRZ), a development-stage biotech company focused on intranasal hydrogels, announced that it has received a notification letter from the Nasdaq Stock Market’s Listing Qualifications Department regarding a potential delisting.
    The primary reason for this delisting notice is public interest concerns related to a recent securities issuance. Specifically, Nasdaq staff determined that the Company’s issuance of securities pursuant to a securities purchase agreement dated March 31, 2025, particularly the Series A warrants exercisable on an alternate cashless basis, could result in substantial shareholder dilution.
    It’s important to note that the receipt of this notification does not result in the immediate delisting of Polyrizon’s ordinary shares, and it has no immediate effect on their listing or trading on the Nasdaq Capital Market under the symbol “PLRZ.”
    Polyrizon intends to timely request a hearing before a Nasdaq Hearings Panel. This request will automatically stay any suspension or delisting action pending the hearing and the expiration of any additional extension period granted by the Panel following the hearing.
    This delisting notice comes after Polyrizon previously received a notification from Nasdaq on April 8, 2025, regarding non-compliance with the minimum bid price requirement (shares trading below $1.00 for 30 consecutive business days). The company was granted a 180-day compliance period until October 6, 2025, to address that issue.
    Polyrizon specializes in developing innovative intranasal hydrogels for various applications, including protection against viruses and allergens, and the nasal delivery of active pharmaceutical ingredients.
