The SEC Investor Advisory Committee will hold a public meeting on June 5, 2025, at 10 a.m. ET at SEC Headquarters in Washington D.C. The meeting will also be webcast on the SEC website.
The committee’s agenda includes two key panel discussions:
* Engaging with Beneficial Owners: Exploring Pass-Through Voting and Other Means of Reaching the Ultimate Beneficial Owner: This panel will delve into the complexities of proxy voting, particularly how asset managers can better engage with the actual beneficial owners of shares in funds to understand their voting preferences. It will examine current trends, potential impacts, and challenges and opportunities in pass-through voting and other mechanisms for direct engagement with beneficial owners.
* Beyond the GAAP: Market Perspectives on Non-GAAP Financial Disclosures: This discussion will focus on non-GAAP financial measures, which companies often use to supplement their GAAP-based financial reporting. The panel will explore what areas of current regulations on non-GAAP measures could be strengthened or clarified, whether greater standardization would benefit investors, and the challenges and benefits of implementing industry-specific non-GAAP reporting guidelines. It will also consider the impact of AI on the quality and transparency of non-GAAP reporting and its potential use in detecting misleading disclosures.
In addition to these panels, the committee will discuss a potential recommendation from its disclosure subcommittee regarding Examining the Use of Mandatory Arbitration Clauses by SEC Registered Investment Advisers.
The Investor Advisory Committee plays a crucial role in advising the SEC on regulatory priorities and initiatives aimed at protecting investors and promoting the integrity of U.S. securities markets. It is authorized by Congress to submit findings and recommendations to the Commission.
