    TV Channels Network Inc., a Nevada-based music and entertainment technology company, has filed a registration statement on Form S-1 with the U.S. Securities and Exchange Commission (SEC) for a proposed Initial Public Offering (IPO) of its common stock.     According to filings, TV Channels Network plans to offer 3,750,000 shares at a price of $4.00 per share. Craft Capital Management is acting as the lead manager for the proposed offering, which is being conducted on a firm commitment basis.
    TV Channels Network is a development-stage company focused on providing streaming services to subscribers. They intend to offer 100 Live Linear Concert Channels, Video on Demand, and various Live TV Channels as an AVOD/TVOD (Advertising Video On Demand/Transactional Video On Demand) service. The company’s goal is to become a major entertainment content provider and create a diversified entertainment business with multiple income sources.
    It’s important to note that the company previously filed and subsequently withdrew an earlier IPO plan in April 2025 that aimed to raise $6 million. The current filing with the revised $15 million target was made on May 2, 2025. While the registration statement has been filed, it has not yet become effective, meaning the securities cannot be sold, nor can offers to buy be accepted, until the SEC declares the registration statement effective.
    The company has stated that its auditors have raised doubt about its ability to continue as a going concern, as it has yet to generate any revenue. However, TV Channels Network believes that securing quality live concert titles provides a solid base for future profits.
